Beta Access
You have been provided with a Beta Key and an access link to a development version of Paper Assistant for the purposes of beta testing prior to public release of the Software. The terms and conditions set out in this document apply to you as a User under the Beta Subscription Plan, and in addition, you acknowledge that the purpose of the beta is to enable Paper Assistant to identify, triage and rectify bugs and other issues arising from your use of the Software. This may require monitoring, data collection and the live roll-out of bug fixes or patches. You agree that you use the Software as a Beta tester at your own risk and to the fullest extent permitted by law Paper Assistant is not liable to you for any consequence of your use of the Software in this condition.
General Terms of Use
This document (Terms of Use) sets out the terms and conditions applicable to your use of Paper Assistant, a cloud-based service for assisting in academic paper reading and comprehension utilising artificial intelligence algorithms (the Software) and created by Ethan Jones ABN 76788487161, trading as Paper Assistant (We, Us or Paper Assistant).
The Terms of Use are set out in the following documents:
1. Schedule 1 - End User Licence Agreement;
2. Schedule 2 - Privacy Policy;
3. Schedule 3 - Subscription Plan, or any Subscription Plan available for purchase from our website at paperassistant.com.au from time to time;
By using the Software you will be deemed to have read and accepted the terms and conditions set out in these Terms of Use
The Terms of Use as stated in this document are current as at 10 November 2025.
Paper Assistant reserves the right, at its sole discretion, to update or modify these Terms of Use and any of the documents which form part of it at any time. Your continued use of the Software after any such changes constitutes your acceptance of the new terms.
This End User Licence Agreement (EULA) is made between Paper Assistant and You (You, or Licensee) (together, the Parties).
The Software is only offered to you on condition that you read and accept all the terms of this EULA, and you will be deemed to have done so if you continue to use the Software.
1.1 Capitalised terms or expressions used in this EULA have the meaning set out in this clause.
Confidential Information means any information disclosed by either party to the other, whether before or after the acceptance of this EULA, that is not publicly available and relates to the business, technology, or other affairs of the disclosing party, including but not limited to technical data, trade secrets, know-how, business operations, strategies, and information regarding customers, pricing, and marketing.
Credit Entitlement means the number of credits a User is permitted according to the chosen Subscription Plan.
Licence has the meaning given in clause 3.1.
Named User has the meaning given in clause 12.1.
Paper Assistant IP means any IP in any form whatsoever contained in the Software and the Website, including but not limited to any source code, images, text or other intellectual property whether registered or not, whether capable of registration or not and whether created before or after the date of this Agreement by any party.
Order means the order agreement between You and Paper Assistant for the Software.
Software means the version of the Paper Assistant automated document review program specified in your Order only.
Subscription Fee, Subscription Period and Subscription Plan have the meaning given in the Subscription Plan Schedule.
Usage Data means data and other information relating to the use of the Software by the Licensee which may be collected from time to time by Paper Assistant for the purposes of improving the Software.
User Data Upload means data uploaded by the User to any instance of the Software, including but not limited to papers, images, text or other subject matter for analysis, prompts, instructions, data inputs, notes, queries or comments uploaded or input by the User to the Software.
User Output means any content generated by a User from the use of the Software content, including but not limited to outputs, summaries, reports, results, generated responses, or other data.
2.1 Subject to payment of the Subscription Fee as set out in your Order, Paper Assistant grants You and your Users a worldwide, limited, non-exclusive, revocable, non-transferable, non-sublicensable licence to use the Software for the duration of the Subscription Period.
2.2 For the avoidance of doubt, the licence granted in this clause is to the current version of the Software named in an Order only, and does not include any entitlement to any update, upgrade, feature, modification, patch or other amendment to the Software which We may offer from time to time unless expressly stated to do so in an Order.
2.2 You must not, and must procure that each of your Users does not:
(a) cause damage or interfere with accessibility to the Software;
(b) use the Software connection with illegal, fraudulent or harmful purposes or activities;
(c) conduct any systematic or automated data collection activities;
(d) store and/or rehost the Software on external servers;
(e) resell, distribute, publish or otherwise redistribute the Software;
(f) publish images of the Software without attribution;
(g) disclose the results of any analysis, review, or benchmark tests of the Software to any third party without Paper Assistant’s prior written approval;
(h) copy, reproduce, translate, adapt, reverse engineer, decompile, vary or modify the Software without the express consent of Paper Assistant, except as expressly authorised by this EULA or applicable law;
(i) provide or otherwise make available the Software in any form to any person without the written consent of Paper Assistant;
(j) circumvent or attempt to circumvent any technical limitations or copying or usage restriction mechanisms in the Software;
(k) give, lease, assign, licence, sublicense, transfer, distribute, disclose, disseminate or publish the Software in any form to any other person or attempt to do any of these acts, unless otherwise set out in an Order; or
(l) otherwise use the Software for any purpose other than as expressly provided by the Licence.
3.1 Unless otherwise specified in an Order, the Subscription Fee shall be payable in advance on the terms set out in your Subscription Plan.
3.2 On payment of the Subscription Fee, You will be allocated a Credit Entitlement according to the Subscription Plan selected.
3.3 Unused Credit Entitlements shall be carried forward until used, and .
3.4 Once your Credit Entitlements have been used for each month, you may either purchase additional Credit Entitlements at the specified rate in your Subscription Plan, or must otherwise wait until the Credit Entitlement resets at the start of the following month, subject to payment of your monthly Subscription Fee.
3.5 Paper Assistant reserves the right to vary the terms of available Subscription Plans, including the Subscription Fee and Credit Entitlement on not less than 14 days’ notice in writing prior to the end of the then current Subscription Period.
3.6 To the fullest extent permitted by law, Subscription Fees are non-refundable once paid.
4.1 You must (or must procure you’re your Users) complete any registration process reasonably required by Paper Assistant prior to accessing the Software.
4.2 During the registration process and at all times whilst your Licence is current, You warrant that you will, will procure that your Users will:
(a) provide true and accurate information;
(b) not create accounts with false information;
(c) not transfer any account to someone else or allow someone else to share an account; and
(d) keep each username and password private and secure.
5.1 The Licence is granted for the Subscription Period and unless terminated shall renew automatically for successive periods of the same length subject only to payment of the Subscription Fee from time to time pursuant to clause 3. You must provide notice in writing at least 14 days before the end of the current Subscription Period if you do not wish to renew the Licence.
5.2 You may terminate the Licence at any time by notice in writing to Paper Assistant, but will not be entitled to any refund of the Subscription Fee on such termination unless expressly provided by this Agreement.
5.3 Paper Assistant may terminate the Licence:
(a) at the end of the current Subscription Period by notice in writing not less than 10 days prior to the last day of the Subscription Period; or
(b) at any time if in the reasonable opinion of Paper Assistant, You or any party to whom this EULA applies has materially breached the terms of this EULA, or it otherwise is or becomes unlawful to provide the Licence or the Software to You.
6.1 The Software is protected by copyright, trademark, and other laws. You acknowledge that nothing in this EULA is intended to transfer, assign or otherwise alter the ownership of any intellectual property rights contained in the Software.
6.2 You agree that any User Output generated using the Software shall be the property of the Paper Assistant, and you agree to assign all of your rights, title and interest in such content to the Paper Assistant at creation. Provided the User is not in breach of any clause of this EULA, Paper Assistant grants the User a non-exclusive licence to use the User Output for any purpose, except that the publication of any User Output must include an acknowledgement in the bibliography, footnote or other similar prominent acknowledgement of a type commonly used for that style of publication substantially in the following form: “Created with the assistance of Paper Assistant”.
6.3 You agree that any modification or improvement to the Software or any other Paper Assistant IP in whatever form and however created whether permitted by this EULA or not, shall be the property of Paper Assistant on and from its creation and You agree to assign all your rights, title and interest in such content to Paper Assistant, and to procure that any User also so agrees.
6.4 You agree, and must procure that your Users agree, to take such further action as Paper Assistant may require to give effect to the intellectual property rights in the Software and User Output as described in this clause.
7.1 Paper Assistant gives no warranty that the Software, the Website or the User Data is not in breach of any third party intellectual property rights whatsoever, and you agree that you will comply with any request from Paper Assistant or a third party to:
(a) cease using the Software or any User Data;
(b) attribute ownership of any User Data to such third party; or
(c) otherwise take such action as may be required by that third party in respect of its intellectual property.
8.1 In this clause:
Third Party Material means material from a Third Party Website which are linked or framed to and from a Third Party Website; and
Third Party Website means a website operated by a third party.
8.2 Paper Assistant does do not verify, endorse or approve Third Party Material and provides no warranty or representation:
(a) regarding the quality, accuracy, merchantability or fitness for purpose of Third Party Material or products or services available from Third Party Website;
(b) as to whether they infringe any intellectual property rights.
8.3 We are not responsible for:
(a) any offers, statements or representations that are made on behalf of a Third Party Website; or
(b) any virus, or other form of malicious computer program from Third Party Websites.
9.1 The Software may contain features that periodically report to Paper Assistant regarding your use of the Software, your configuration settings, and any errors you encounter, or permit Paper Assistant to manually observe and collect Usage Data. Usage Data is collected for the purpose of improving the functionality of the Software and you agree to the collection and use of the Usage Data by Paper Assistant. This may include, but is not limited to, the use of Usage Data, User Data Uploads or User Outputs for the training of artificial intelligence including large language models, and you grant Paper Assistant a non-exclusive, royalty-free, worldwide licence to use information collected pursuant to this clause for the purpose of improving the Software.
9.2 You may be required to provide Paper Assistant with information including but not limited to computer hardware specifications and computer software specifications. Paper Assistant will not sell or otherwise disseminate any information provided without your prior consent in its original form, but may use such information for the purposes outlined in 9.1 without further consent.
10.1 You agree and acknowledge that while we will keep your User data available for a reasonable time after you cancel your subscription, we are not responsible for retaining or keeping records of:
(a) any expense or financial data relating to your account; or
(b) any generated reports or images.
10.2 Without limiting the preceding clause, you agree that we are not required to retain documents or data on your behalf.
10.3 You release us for any liability, claims and demands in relation to, or arising out of any matter related to the storage of any data or reports generated using Paper Assistant whatsoever.
11.1 You agree to only use Confidential Information for the purpose of using the Software as permitted under this EULA.
11.2 For a period of three years after the conclusion of your use of the Software, You must keep secret and confidential and not disclose any Confidential Information relating to Paper Assistant or its business (which is or has been disclosed to you by Paper Assistant , its representatives or advisers) or the terms of this EULA, except:
(a) where the information is in the public domain as at the date of this EULA (or subsequently becomes in the public domain other than by breach of any obligation of confidentiality binding on You);
(b) if You are required to disclose the information under any applicable law or the rules of any recognised securities exchange, provided that You have consulted with the provider of the information as to the form and content of the disclosure;
(c) where the disclosure is expressly permitted under this EULA;
(d) where the disclosure is required for use in legal proceedings regarding this EULA; or
(e) if Paper Assistant has consented in writing before the disclosure.
11.3 You must notify Paper Assistant as soon as practicable if You become aware of an obligation to disclose any Confidential Information.
11.4 You must provide Paper Assistant with any assistance reasonably required by Paper Assistant in relation to any proceedings commenced against a third party for the unauthorised use, copying, or disclosure of Confidential Information.
11.5 You agree to:
(a) Take reasonable steps to prevent the disclosure of any Confidential Information;
(b) Not disclose, publish, or publicly disseminate any Confidential Information;
(c) Not copy or reproduce any Confidential Information;
(d) Not reverse engineer, disassemble, de-encrypt, decompile, or otherwise derive the design, logic, or structure of any prototypes, software, or other tangible or intangible objects which embody any Confidential Information; and
(e) Promptly notify Paper Assistant of any misuse or misappropriation of any Confidential Information.
11.6 You acknowledge and agree that unauthorised disclosure or use of any Confidential Information may cause Paper Assistant irreparable harm for which monetary damages would be an insufficient remedy, and that as such Paper Assistant will be entitled to seek injunctive relief to prevent such disclosure.
12.1 Unless otherwise specified in an Order, the license granted under this agreement is explicitly for a "Named User," defined as an individual employee specifically designated and authorised by you to utilise the service. Each Named User must hold an individual license, which is unique and exclusive to them.
12.2 This license is strictly non-transferable and cannot be shared, assigned, or otherwise used by any person other than the designated Named User.
12.3 Any attempt to transfer, share, or use the license by another individual will constitute a breach of this agreement. Furthermore, you acknowledge and agree that you are responsible for ensuring compliance with this clause and that any breach may result in the immediate suspension or termination of access to the service for the Named User involved. Additionally, Paper Assistant reserves the right to conduct investigations into any such breaches to determine the appropriate course of action.
13.1 You are solely responsible for any User Data Uploads, including management and protection of any such data. Paper Assistant disclaims any responsibility for the accuracy, legality, or integrity of User Data Uploads.
13.2 You agree that Paper Assistant is permitted use and access, and to permit AI algorithms and large language learning models to use and access any User Data Uploads for the purposes of enabling the Software to perform document review, summary, analysis and otherwise undertake any task or manipulation of the User Data Uploads that may be reasonably required by, contemplated by or ancillary to the intended use or purpose of the Software.
13.3 You warrant that any User Data Uploads are permitted by law, and will not infringe the intellectual property rights of any third party, and indemnify Paper Assistant against any claim made by a third party in respect of such infringement.
13.4 Nothing in this EULA has the effect of transferring intellectual property rights in User Data Uploads, and all intellectual property rights in such data remain unaltered except as otherwise agreed.
13.5 You acknowledge that large User Data Uploads may impact performance of the Software.
13.6 Paper Assistant imposes usage limits on the use of the Service, including on the number of documents processed, the frequency of use and storage as outlined in clause 10.
13.7 Paper Assistant reserves the right to suspend your account or limit your services in the event that you exceed any usage limits.
13.8 Paper Assistant reserve the right to modify the usage limits under this agreement from time to time as set out under clause 20 below.
15.1 Except as expressly stated in this EULA, the Software is provided “as is” and Paper Assistant makes no representations or warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement of third-party rights.
15.2 You acknowledge that the Software is in development and may not operate in all software environments or hardware configurations, or interact with other programs, code or data in the manner intended.
15.3
15.4 Paper Assistant does not warrant that the operation of the Software will be uninterrupted or error-free, or that the Software will operate in combination with any other hardware or software.
16.1 For the avoidance of doubt Paper Assistant does not provide any express or implied representation or warranty, and disclaims all responsibility as to:
(a) the availability of Paper Assistant and its associated services at the time You wish to use it;
(b) merchantability, fitness for a particular purpose and non-infringement (except where specified in this EULA);
(c) compatibility of the Software with any third party program, subject matter or content; and
(d) accuracy or validity of information contained in User Outputs or otherwise generated by the Software.
16.2 No part of the Software or the User Output constitutes advice of any kind and you should seek qualified professional advice where appropriate to do so.
16.3 You acknowledge that the Software is dependent on artificial intelligence and large language models which:
(a) May produce results which are inaccurate, false, misleading, incomplete or otherwise flawed; and
(b) may be subject to content controls in respect of subject matter, user prompts or other inputs and User Data Uploads
and you agree that you use Paper Assistant and any User Output entirely at your own risk except where expressly provided by this Agreement and at law.
17.1 This EULA, and our use of Your data and personal information is subject the terms and conditions set out in Paper Assistant's Privacy Policy, attached to these Terms of Use at Schedule 2.
18.1 To the fullest extent permitted by applicable law, in no event will Paper Assistant be liable for any direct, indirect, special, incidental, consequential, or punitive damages of any kind, including but not limited to lost profits, lost revenue, lost savings, or other economic harm, loss of data, or cost of substitute goods or services, whether arising under contract, tort (including negligence), strict liability or otherwise, arising out of or in connection with this EULA or the use or inability to use the Software, even if Paper Assistant has been advised of the possibility of such damages.
18.2 Paper Assistant’s total aggregate liability under or in connection with this EULA, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the amount actually paid by the Licensee for the Software during the twelve (12) months preceding the claim.
19.1 You agree to indemnify, defend, and hold harmless Paper Assistant and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of this EULA or your use of the Software not in accordance with the Licence or applicable law.
20.1 Paper Assistant reserves the right, at its sole discretion, to update or modify this EULA at any time. Your continued use of the Software after any such changes constitutes your acceptance of the new terms.
21.1 No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
22.1 If a dispute, controversy, or claim arises from or relates to this EULA, including its breach, termination, or invalidity, the Parties must first attempt to resolve it through good faith negotiation. If unresolved within thirty (30) days, either Party may refer the matter to mediation, with mediation taking place in the Australian Capital Territory and conducted in English. If the parties cannot agree on the identity of a mediator, the President of the Law Society of the Australian Capital Territory shall nominate an appropriate mediator.
23.1 This EULA, including any documents incorporated herein by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings of the parties.
24.1 If any provision of this EULA is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid, illegal, or unenforceable provision shall be modified so as to best accomplish the objectives of such provision within the limits of applicable law.
25.1 Any notices or other communications required or permitted under this EULA shall be in writing and delivered by electronic mail, and shall be deemed given upon receipt by the party to which it is directed.
26.1 This agreement is governed by the law in force in the Australian Capital Territory.
26.2 Each party irrevocably submits to the exclusive jurisdiction of courts exercising jurisdiction in Australian Capital Territory and courts of appeal from them in respect of any proceedings arising out of or in connection with this EULA.
1.1 Paper Assistant respects your right to privacy and is committed to safeguarding the privacy of our customers, website visitors and users.
1.2 We adhere to the Australian Privacy Principles contained in the Privacy Act 1988 (Cth) (the Act) and to the extent applicable, the EU General Data Protection Regulation (GDPR).
1.3 This policy sets out how we collect and treat your personal information.
2.1 According to the Act, "personal information" is information we hold which is identifiable as being about you. This might include information such as your name, email address, an identification number which is linked to your identity, or any other type of information that can reasonably identify an individual, either directly or indirectly.
2.2 If the information does not disclose your identity or enable your identity to be ascertained, it will in most cases not be classified as "personal information" and will not be subject to this privacy policy.
3.1 We collect information about you and your interactions with us, in a variety of ways, including when you interact with us electronically or in person, when you purchase or use any of our services, call us, interact with our chatbot, when you access or enter information into the Software , visit our website or when we provide services to you.
3.2 We may collect information about how you access, use and interact with the website. This information may include:
(a) the location from which you have come to the site and the pages you have visited; and
3.3 We collect cookies from your computer which enable use to tell when you use the website and also to help customise your website experience.
3.4 We may receive personal information from third parties. If we do, we will protect it as set out in this privacy policy.
3.5 By providing us with personal information, you consent to the supply of that information subject to the terms of this Privacy Policy.
4.1 In order to provide services to you, we will collect various identifying information from you including but not limited to:
(a) Basic identity information such as your name, phone number, address, email address and contact details; and
(b) your history of purchases and use of our services.
(c) financial information for payment processing;
(d) documents you open;
(e) queries and interactions with our software; and
(f) usage data.
4.2 We may collect additional information at other times, including but not limited to, when you provide feedback, when you provide information about your personal or business affairs, change your content or email preference, respond to surveys and/or promotions, provide financial or credit card information, or communicate with our customer support.
5.1 We collect, hold and use your personal information so that we can:
(d) administer our business activities;
(e) create, operate and manage account information;
(f) maintain, manage and process transactions using a secure third party payment processor;
(g) manage, research, improve and develop our products and services;
(h) provide you with information about our products or services;
(i) communicate with you by a variety of measures including, but not limited to, by telephone, email, SMS or mail;
(j) maintain, manage and provide customer support; and
(k) investigate any complaints.
5.2 We will collect your personal information directly from you whenever you interact with us.
5.3 Paper Assistant may use personal information including documents you open, queries and interactions with its software to operate, maintain, improve, and provide you with services.
5.4 Paper Assistant may disclose your personal information to any of our employees, officers, insurers, professional advisers, agents, suppliers or subcontractors insofar as reasonably necessary for the purposes set out in this privacy policy.
5.5 Paper Assistant may use personal information collected from you to provide you with information about our products or services. We may also make you aware of new and additional products, services and opportunities available to you.
5.6 If you withhold your personal information, it may not be possible for us to provide you with our products and services or for you to obtain use of all features of the Software.
5.7 We may disclose your personal information to comply with a legal requirement, such as a law, regulation, court order, subpoena, warrant, legal proceedings or in response to a law enforcement agency request.
5.8 If there is a change of control in our business or a sale or transfer of business assets, we reserve the right to transfer to the extent permissible at law our user databases, together with any personal information and non-personal information contained in those databases.
5.9 Information that we collect may from time to time be stored, processed in or transferred between parties located in countries outside of Australia.
5.10 The purpose for which we collect personal information on our website is to provide you with the best service experience possible on the website. We customarily disclose personal information only to our service providers who assist us in operating the website. Your personal information may also be exposed from time to time to maintenance and support personnel acting in the normal course of their duties.
5.11 By using our website, you consent to the receipt of direct marketing material. We will only use your personal information for this purpose if we have collected such information direct from you, and if it is material of a type which you would reasonably expect to receive from us. We do not use sensitive personal information in direct marketing activity. Our direct marketing material will include a simple means by which you can request not to receive further communications of this nature.
6.2 We implement and maintain processes and security measures to protect personal information which we hold from misuse, interference or loss, and from unauthorised access, modification or disclosure.
6.3 Where we employ data processors to process personal information on our behalf, we only do so on the basis that such data processors comply with the requirements under the Act and, if applicable, the GDPR and that have adequate technical measures in place to protect personal information against unauthorised use, loss and theft.
6.4 The transmission and exchange of information is carried out at your own risk. We cannot guarantee the security of any information that you transmit to us, or receive from us. Although we take measures to safeguard against unauthorised disclosures of information, we cannot assure you that personal information that we collect will not be disclosed in a manner that is inconsistent with this Privacy Policy.
6.5 We will also take reasonable steps to destroy or de-identify personal information once we no longer require it for the purposes for which it was collected or for any secondary purpose permitted under the APPs.
7.1 User data: When you use the Software we may collect certain information such as device ID, the IP address of your device operating system, the type of mobile internet browsers you use, and information about the way you use the Software. This information is used in an aggregated manner to analyse how people use our site, such that we can improve our service.
7.2 Cookies: We may from time to time use cookies. Cookies are very small files which a website uses to identify you when you come back to the Software or the Website and to store details about your use of the Software. Cookies are not malicious programs that access or damage your computer, tablet or smartphone. Most devices automatically accept cookies, but you can choose to reject cookies by changing your devise settings. However, this may prevent you from taking full advantage of the Software.
7.3 Automatic collection: The Software may collect certain information automatically, including, but not limited to, the type of device you use, your devices unique device ID, the IP address of your device, your operating system, the type of Internet browsers you use, and information about the way you use the Software.
7.4 Geo-location: When you visit the Software, we may use GPS technology (or other similar technology) to determine your current location in order to determine the city you are located within and display a location map with relevant advertisements. We will not share your current location with other users or partners.
7.5 Third party links: The Software may from time to time have links to other applications or websites not owned or controlled by us. These links are meant for your convenience only. Links to third party applications and websites do not constitute sponsorship or endorsement or approval of these third parties. Please be aware that Paper Assistant is not responsible for the privacy practises of other such applications or websites. We encourage our users to be aware, when they leave the website, to read the privacy statements of each and every application or website that collects personal identifiable information.
7.6 Op out right: You can opt-out of the collection of non-essential personal data sending a request to to privacy@paperassistant.com.au.
8.1 Data Collection: When you come to our website (www.paperassistant.com.au) we may collect certain information such as browser type, operating system, website visited immediately before coming to our site, etc. This information is used in an aggregated manner to analyse how people use our site, such that we can improve our service.
8.2 Cookies: We may from time to time use cookies on our website. Most web browsers automatically accept cookies but you can choose to reject cookies by changing your browser settings. However, this may prevent you from taking full advantage of our website. Our website may from time to time use cookies to analyses website traffic and help us provide a better website visitor experience. In addition, cookies may be used to serve relevant ads to website visitors through third party services such as Google AdWords. These ads may appear on this website or other websites you visit.
